Terms and Conditions

These Terms govern (1) a healthcare provider's use of the Care Automation Solutions patient reactivation platform under a signed Master Services Agreement ("MSA"), and (2) SMS messages sent through the platform to patients and other recipients ("End Users"). Where anything here conflicts with a signed MSA or Business Associate Agreement, that agreement controls.
For Customers
Healthcare providers using the platform
1. The Service
Care Automation Solutions sends automated SMS messages to patients on your behalf, triggered by clinical criteria you define — appointment reminders, recall notices, and similar outreach. The specific scope of services is set out in your Master Services Agreement ("MSA").
2. Patient Consent & Opt-Out
You're responsible for obtaining and maintaining valid patient consent to receive text messages, in compliance with the TCPA and applicable state law. Every message we send includes opt-out instructions; a patient who replies STOP is removed from future messaging immediately. You're responsible for honoring opt-outs in your own systems as well.
3. Message Frequency & Carrier Charges
Message volume depends on the clinical triggers and patient population you configure — we don't set frequency, you do. Standard message and data rates from a patient's wireless carrier may apply; we don't control or bill those charges.
4. HIPAA & Protected Health Information
Our platform handles Protected Health Information (PHI). If you're a HIPAA-covered entity or business associate, a separate Business Associate Agreement (BAA) governs our handling of PHI and controls over this section in the event of any conflict. We use PHI only to deliver the messaging services described in your MSA — never for marketing, fundraising, or resale.
5. Liability
We don't guarantee message delivery, patient response, or any scheduling or clinical outcome — these depend on carrier networks, patient behavior, and other factors outside our control. We aren't liable for indirect or consequential damages arising from service interruptions, third-party failures, or events beyond our reasonable control. Our total liability under these Terms is capped at the fees you paid us in the twelve months before the claim, as further detailed in your MSA.
6. Data Privacy
We don't sell, rent, or share patient mobile numbers with third parties. Our Privacy & Data Protection Statement covers how we handle mobile numbers and messaging data.
7. Termination & Data Retention
Your MSA governs termination. You remain responsible for fees accrued before termination. After termination, we retain data only as long as required by law or to resolve outstanding obligations — you're responsible for exporting anything you want to keep before it takes effect.
8. Governing Law
These Terms are governed by the laws of the state specified in your MSA, and any dispute will be handled in the venue specified there.
9. Changes to These Terms
We may update these Terms to reflect changes in law or our services. We'll post updates on this page and update the date below; continuing to use the platform after a change takes effect means you accept it.

Why you're receiving messages
Your healthcare provider uses Care Automation Solutions to send appointment reminders and care-related outreach. Your provider — not us — is responsible for obtaining your consent to be contacted this way.
Opting out
Reply STOP to any message to stop receiving texts immediately. Reply HELP for assistance. You can also contact your healthcare provider directly to update your communication preferences.
Message frequency
How often you hear from us depends on your provider's care protocols and clinical triggers — it varies from patient to patient.
Carrier charges
Message and data rates may apply. Contact your wireless carrier for details about your plan.
Your data
We don't sell, rent, or share your mobile number with third parties. Our Privacy & Data Protection Statement has the details.
